Terms of Service

1. Agreement to Terms

By accessing or using the Flowgent platform (the "Service") operated by Flowgent Technologies LLC ("Flowgent," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including business owners who create accounts ("Business Users") and end customers who submit booking requests through Flowgent-powered pages ("End Users").

2. Description of Service

Flowgent provides a cloud-based client intake, booking, and lead management platform designed for field service businesses. Features include:

• Online booking pages with custom branding
• AI-powered voice agent for phone-based bookings
• Lead management dashboard
• Automated notifications and reminders
• Workflow automation for lead routing

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3. Account Registration

Business Users

To use the Service as a Business User, you must:

• Provide accurate and complete registration information
• Be at least 18 years of age
• Be authorized to act on behalf of the business you register
• Keep your login credentials secure and not share them with unauthorized parties

You are responsible for all activity that occurs under your account. Notify us immediately at support@flowgentech.com if you believe your account has been compromised.

End Users

End Users do not need to create accounts. By submitting a booking request, End Users agree to these Terms and our Privacy Policy.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law
• Submit false, misleading, or fraudulent booking requests
• Attempt to access data belonging to other Business Users (tenant isolation violation)
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Use automated tools to scrape, crawl, or extract data from the Service without our written permission
• Upload malicious files, viruses, or harmful code through any upload feature
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to send unsolicited commercial messages (spam)
• Impersonate another person or business

We may suspend or terminate your account for any violation of these Terms.

5. Data Ownership and Intellectual Property

Your Data

You retain full ownership of all data you submit to the Service, including business information, customer leads, booking records, and uploaded files ("Your Data"). We do not claim any ownership rights over Your Data.

We use Your Data solely to provide the Service to you, as described in our Privacy Policy. You may export or delete Your Data at any time through the dashboard or by contacting support.

Our Platform

The Service, including all software, designs, logos, documentation, and related intellectual property, is owned by Flowgent Technologies LLC and is protected by United States copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your active subscription.

You may not:

• Copy, modify, or distribute any part of the Service
• Use our trademarks, logos, or brand assets without written permission
• Create derivative works based on the Service
• Sublicense or resell access to the Service

Feedback

If you provide feedback, suggestions, or feature requests, you grant us a non-exclusive, royalty-free, perpetual license to use, modify, and incorporate that feedback into the Service without any obligation to you.

6. Custom Domains and Branding

If you use a custom domain or subdomain with the Service:

• You represent that you own or are authorized to use the domain name
• You are responsible for maintaining domain registration and DNS configuration
• We are not responsible for domain expiration, DNS misconfiguration, or email disruption caused by incorrect DNS changes
• Upon termination of your account, we will remove your custom domain from our platform within 24 hours
• We do not acquire any rights to your domain name through this arrangement

7. Payment Terms

Payment terms, pricing tiers, billing cycles, refund policy, and cancellation terms will be added to these Terms before the first paid subscription is activated. Until then, access to the Service is provided at no cost during the beta period.

8. Service Availability and Support

• We target 99.9% uptime but do not guarantee uninterrupted availability.
• Scheduled maintenance will be announced at least 24 hours in advance when possible.
• Support is available via email at support@flowgentech.com during business hours (Central Time, Monday through Friday).

10. Indemnification

You agree to indemnify, defend, and hold harmless Flowgent Technologies LLC, its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any data you submit through the Service
• Your end customers' claims related to bookings processed through the Service

11. Termination

By You

You may terminate your account at any time by contacting support@flowgentech.com. Upon termination:

• Your access to the Service will be revoked
• Your Data will be available for export for 30 days after termination
• After 30 days, Your Data will be permanently deleted unless legally required to retain it

By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your account has been inactive for more than 12 months
• We discontinue the Service (with 90 days' notice)
• Required by law

12. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Informal Resolution

Before filing any formal legal proceeding, you agree to contact us at legal@flowgentech.com and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction

Any legal proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Travis County, Texas.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Flowgent regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
• Notices: We may send notices to the email address associated with your account. You may send notices to legal@flowgentech.com.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
